PAUL H. GRAHAM
← All GuidesHow do I tell a legitimate tax-advantaged investment from one that just borrows the language?
The difference is rarely visible in the pitch. It's in how the structure was actually built, and whether it would hold up if the IRS looked closely at it.
Every alternative investment sponsor uses similar language: tax efficient, accelerated depreciation, pass-through benefits. The words alone tell you almost nothing about whether the structure is sound.
A legitimate structure is built by professionals who specialize in that specific tax strategy, documented thoroughly, and consistent with how similar deals have actually been treated under existing law and precedent, not a novel interpretation nobody has tested.
The clearest signal is whether the people recommending the investment can explain, in specific terms, exactly why the tax treatment applies, citing the relevant mechanics, rather than gesturing vaguely at tax benefits without being able to defend how they work.
